STANDARD TERMS & CONDITIONS
Quotations and Proposals—All quotations and proposals are valid for 30 days from date of proposal unless otherwise stated.
Taxes—Prices do not include any sales, use, excise or similar taxes. Any taxes Chicago Cutting Die Company (hereinafter known as CCD) is required to pay or collect will be added to quoted cost or charged to buyer as necessary. Buyer must provide CCD with appropriate tax exemption certificates acceptable to the taxing authority.
Payment Terms—Payment terms and conditions are as stated in the quotation and proposal. In the case of progress payments, work will stop if payment schedules are not maintained. Late payments will be assessed a charge of 1.5% beginning on the 15th day after payment is due.
Pricing—All prices are in effect as stated in the quotation or proposal. Change orders and additional work beyond the original quotation or proposal will be charged accordingly. Price increases will apply if increase is beyond the control of CCD.
Shipping and Delivery—All deliveries are approximations and subject to change based on availability of resources and components used as a part of the process. CCD will make every effort to maintain delivery schedules but cannot be held responsible beyond our control. Delays caused by the buyer, either in the form of information or postponed shipping will be assessed charges according to the delay and submit payment based on the completed portion of the project. If delays are requested after completion of project, Buyer will pay full value of project less any service or item not supplied as part of the quotation or proposal. CCD assumes no responsibility nor will make restitution for any cost incurred or projected by the buyer due to late shipments or deliveries. All shipments are FOB point of manufacturer and will not be “prepaid and add”. Special shipping, handling and Export shipping arrangements are the responsibility of the buyer.
Changes—The buyer may make changes with the consent of CCD. All costs for changes will be paid for by the buyer.
Cancellation—In the event of cancellation by the buyer, all cost incurred and expenses to cancel order will be paid by the buyer with an additional 5% cancellation charge on the cost of all unfinished services.
Safety—CCD will provide safety guards and devices for operator safety when applicable. It is the responsibility of the buyer to ensure these devices are in proper operation and maintained. It is the sole responsibility of the buyer to provide additional safety devices for operator safety in accordance with any State, Local, Federal and Industry regulations.
Warranty—Purchased components are subject to Warranty set forth by the manufacturer. All warranty will take effect after all payments have been made in full. Abuse, misuse or improper operation of devices void all warranties.
WARRANTY: CCD warrants the items supplied (except expendable or wear parts) to the original Buyer to be free from defects in material and workmanship. This warranty shall be effective for a period of one year (12 months) from the date of delivery to Buyers factory. CCD assumes no responsibility for reimbursing any repair or replacement costs incurred without prior express written consent of Chicago Cutting Die Company. Defective parts must be returned, shipping charges prepaid, to CCD after authorization by CCD to make such return. Replacement part will be shipped to the Buyer at CCD’s expense. In no event shall CCD be liable for damages of any kind or nature including personal injury resulting from improper or negligent use or operation of the items sold or leased hereby or in the event that any item has been altered or repaired by personnel other than those in the employ of CCD or authorized in writing by CCD to repair the item. THE WARRENTY CONTAINED HEREIN IS EXPRESSLY IN LIEU OF ANY AND ALL OTHER WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OF FITNESS FOR ANY PARTICULAR USE OR PURPOSE.
Indemnity—All services provided are to buyers specifications. The buyer agrees to indemnify and hold harmless CCD against any patent, design, copyright, trade secrets or trade mark infringements and to defend CCD its successors and assigns against any loss liability cost or expense resulting from the actions of a third party.
These terms and conditions are considered a part of the quotation or proposal and are in force upon receipt of a contract to perform services.
